## 1. Introduction and Acceptance of Terms
Welcome to Local Bites . These Terms and Conditions ("Terms") govern your access to and use of the Local Bites mobile application, website, and related services (collectively, the "Platform"), which connects users ("Customers") with restaurants, food vendors, and other merchants ("Restaurants" or "Merchants") for the ordering and delivery of food and beverages, facilitated by independent delivery partners ("Delivery Partners").
By downloading, accessing, registering on, or using the Platform in any way, you ("User," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules referenced herein. If you do not agree to these Terms, you must not access or use the Platform.
If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

## 2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Platform. By using the Platform, you represent and warrant that:
- You have the legal capacity to enter into a binding contract;
- All registration information you submit is accurate, current, and complete;
- You will maintain the accuracy of such information;
- You are not barred from using the Platform under applicable law.
Local Bites reserves the right to refuse service, suspend, or terminate accounts at its discretion if eligibility requirements are not met.

## 3. Account Registration and Security
3.1 To place orders, you must create an account by providing accurate personal information, including your name, phone number, email address, and delivery address(es).
3.2 You are solely responsible for maintaining the confidentiality of your login credentials (including OTPs and passwords) and for all activities that occur under your account.
3.3 You must notify Local Bites immediately of any unauthorized use of your account or any other breach of security.
3.4 Local Bites is not liable for any loss or damage arising from your failure to protect your account credentials.
3.5 One account is permitted per user. Local Bites reserves the right to suspend duplicate or fraudulent accounts.

## 4. Nature of Services
4.1 Local Bites operates as a technology platform that facilitates connections between Customers, Restaurants, and Delivery Partners. Local Bites is **not** a restaurant, food preparer, or delivery company.
4.2 Local Bites does not own, operate, or control the Restaurants listed on the Platform, and is not responsible for the preparation, quality, freshness, safety, or legality of the food items offered.
4.3 Delivery Partners may be independent contractors or third-party logistics providers and are not employees or agents of Local Bites.
4.4 Local Bites acts solely as an intermediary and shall not be a party to any transaction between Customers and Restaurants.

## 5. Placing Orders
5.1 Customers may browse menus, select items, and place orders through the Platform. All orders are subject to acceptance and availability at the sole discretion of the Restaurant.
5.2 Prices, menu items, and availability displayed on the Platform are provided by Restaurants and are subject to change without prior notice. Local Bites is not responsible for pricing errors, menu inaccuracies, or item unavailability.
5.3 Once an order is placed and confirmed, it may not be cancelled or modified except as permitted under Section 8 (Cancellations and Refunds) or at the Restaurant's discretion.
5.4 Customers are responsible for providing accurate delivery addresses and contact information. Local Bites is not liable for delivery delays or failures caused by incorrect information provided by the Customer.
5.5 Local Bites reserves the right to refuse or cancel any order at its discretion, including in cases of suspected fraud, unauthorized transactions, or Platform misuse.

## 6. Pricing, Fees, and Payments
6.1 All prices displayed on the Platform are inclusive of applicable taxes unless otherwise stated, and are subject to additional charges such as delivery fees, packaging charges, platform fees, and surge pricing during high-demand periods.
6.2 Payment for orders may be made through available payment methods on the Platform, including but not limited to credit/debit cards, UPI, net banking, digital wallets, and cash on delivery (where available).
6.3 By providing payment information, you authorize Local Bites and its third-party payment processors to charge the applicable amount for your order, including any applicable taxes and fees.
6.4 Local Bites uses third-party payment gateways to process transactions and does not store your complete card or banking details on its own servers, except as permitted by applicable law and its Privacy Policy.
6.5 In the event of a failed transaction where the amount is debited but the order is not confirmed, refunds will be processed to the original payment method within the timeframe specified by the applicable payment provider or bank.
6.6 Local Bites reserves the right to change its fee structure, delivery charges, and platform fees at any time, with or without prior notice.

## 7. Delivery
7.1 Estimated delivery times displayed on the Platform are approximate and are not guaranteed. Actual delivery times may vary due to factors including weather, traffic, order volume, Restaurant preparation time, or unforeseen circumstances.
7.2 Customers must be available to receive the order at the specified delivery address within a reasonable time window. Additional charges may apply for extended waiting times caused by Customer unavailability.
7.3 Local Bites is not liable for delays, non-delivery, or issues arising from incorrect addresses, inaccessible locations, or Customer unavailability at the time of delivery.
7.4 Where contactless delivery is selected, Customers acknowledge that food will be left at the specified location at their own risk.

## 8. Cancellations and Refunds
8.1 Customers may cancel an order within a limited time window after placement, subject to the Restaurant not having started preparation. Cancellation fees may apply depending on the order status.
8.2 Once food preparation has begun, cancellations may not be permitted, and no refund will be issued except at Local Bites's discretion.
8.3 Refunds for valid complaints (e.g., incorrect items, missing items, spoiled or damaged food) will be evaluated on a case-by-case basis and issued as credits to the Local Bites wallet, or to the original payment method, at Local Bites's discretion.
8.4 Refund requests must be raised through the Platform's support channel within the timeframe specified in the app (typically within 24 hours of delivery).
8.5 Local Bites reserves the right to deny refund requests it determines, in good faith, to be fraudulent, abusive, or inconsistent with normal usage patterns.

## 9. User Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of these Terms;
- Provide false, misleading, or fraudulent information;
- Interfere with or disrupt the integrity or performance of the Platform;
- Attempt to gain unauthorized access to the Platform, other accounts, or connected systems;
- Harass, threaten, or abuse Restaurant staff, Delivery Partners, or Local Bites support personnel;
- Use automated systems (bots, scrapers) to access or extract data from the Platform without prior written consent;
- Reverse-engineer, decompile, or attempt to extract source code from the Platform.
Violation of this section may result in immediate suspension or termination of your account, in addition to any other legal remedies available to Local Bites.

## 10. Ratings and Reviews
10.1 Customers may be permitted to rate and review Restaurants and Delivery Partners based on their experience.
10.2 Reviews must be honest, based on genuine experience, and must not contain defamatory, obscene, abusive, or unlawful content.
10.3 Local Bites reserves the right to remove any review or rating that violates these Terms or that it deems inappropriate, without prior notice.

## 11. Promotions, Discounts, and Referrals
11.1 Local Bites may offer promotional codes, discounts, cashback, or referral incentives from time to time, subject to specific terms and conditions communicated at the time of the offer.
11.2 Promotional offers are non-transferable, cannot be combined unless explicitly stated, and may be withdrawn or modified at any time without prior notice.
11.3 Local Bites reserves the right to disqualify Users and reverse any credited discounts or rewards in cases of suspected abuse, fraud, or violation of offer terms.

## 12. Intellectual Property
12.1 All content on the Platform, including but not limited to the Local Bites name, logo, trademarks, design, graphics, software, and text, is the property of Local Bites or its licensors and is protected under applicable intellectual property laws.
12.2 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes only.
12.3 You may not copy, modify, distribute, sell, or lease any part of the Platform, nor reverse engineer or attempt to extract the source code of the software, unless permitted by law.

## 13. Third-Party Links and Services
The Platform may contain links to third-party websites, services, or content not owned or controlled by Local Bites. Local Bites assumes no responsibility for the content, privacy policies, or practices of any third-party services and encourages Users to review the terms of any third party they interact with.

## 14. Limitation of Liability
14.1 To the maximum extent permitted by applicable law, Local Bites, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Platform.
14.2 Local Bites's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount paid by you for the specific order giving rise to the claim.
14.3 Local Bites does not guarantee uninterrupted, error-free, or secure access to the Platform and is not liable for any downtime, technical errors, or data loss.
14.4 Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for death, personal injury, or fraud.

## 15. Indemnification
You agree to indemnify, defend, and hold harmless Local Bites, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your violation of these Terms;
- Your use or misuse of the Platform;
- Your violation of any rights of a third party, including Restaurants or Delivery Partners;
- Any content or information you submit through the Platform.

## 16. Food Safety and Allergen Disclaimer
16.1 Local Bites does not prepare, handle, or inspect food items listed by Restaurants and makes no representations regarding the quality, safety, nutritional content, or allergen information of any food item.
16.2 Customers with food allergies or dietary restrictions are advised to verify ingredient and allergen information directly with the Restaurant before placing an order. Local Bites is not liable for adverse reactions resulting from undisclosed or mislabeled allergens.

## 17. Suspension and Termination
17.1 Local Bites reserves the right to suspend or terminate your access to the Platform, with or without notice, for any violation of these Terms, suspected fraudulent activity, or conduct that Local Bites deems harmful to the Platform, its users, or third parties.
17.2 You may terminate your account at any time by contacting Local Bites support or through the account settings in the app.
17.3 Termination of your account does not relieve you of any payment obligations incurred prior to termination.

## 18. Modifications to the Platform and Terms
18.1 Local Bites reserves the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice.
18.2 Local Bites may revise these Terms from time to time. Updated Terms will be posted on the Platform with a revised "Last Updated" date. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
18.3 It is your responsibility to review these Terms periodically for changes.

## 19. Governing Law and Dispute Resolution
19.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
19.2 Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation.
19.3 If a dispute cannot be resolved amicably within [Insert Number] days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, and the seat of arbitration shall be Srikakulam, Andhra Pradesh.
19.4 Subject to the arbitration clause above, the courts at Srikakulam, Andhra Pradesh shall have exclusive jurisdiction over any matters not subject to arbitration.

Local Bites shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government restrictions, strikes, internet or power outages, or acts of God.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

## 22. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by Local Bites on the Platform, constitute the entire agreement between you and Local Bites regarding your use of the Platform, superseding any prior agreements.
